实践当中出现公司股东名册空白的情况。之后为了保障股东名册能够规范、如实地记载公司的股东资格情况，应当从以下几个方面入手：首先，在立法当中需要规定股东名册通过何种形式进行制作，以及其中所需要记载的内容，例如股东的名称、身份信息、出资比例、成为股东的时间、股权变更的时间等一系列信息。应当在立法当中股东名册应当遵循何种程序进行更正，例如股权变更登记时需要递交何种文件，为股权变更设置实体层面以及程序层面的保障。在公司内部设置负责人，负责制作股东名册的工作，并且载明制作时需要尽到的一系列义务，例如制作的时间期限，在股东发生变更时需要尽到的审查义务等。并且还应当载明，倘若负责该项工作的人违反了法定的义务需要承担何种来自法律的惩罚。在目前的实践活动当中，股东假冒签名的行为大量存在，因此必须规定完善的惩罚机制。

综上，本文已经通过对于《公司法》32条进行详细解读，以股权善意取得为处罚点，研究股东名册、工商登记两者之间的关系，提出应当对我国现行的股东名册制度进行改革的建议，这样一来其才能够真正发挥证明股东资格的作用和价值。
通过上文的分析我们可以发现，目前无论是股东名册制度，还是工伤登记制度，都难以直接构成第三人产生信赖的前提和基础。从根本上来说，在股权转让情形下判断是否具备股东身份，重要的是看是否依法受让了股权或者依法对公司履行了出资。工商登记备案以及股东名册记载均是在依法受让或者出资之后随后产生的登记行为，此类行为原本就没有创设股东资格的法律效果，仅仅有对外宣示、公示的效果。
因此，法律应更加明确以股权转让作为确认股东身份的效力，司法实践中也应将思路放在证明股权转让行为本身存在及有效上，而非只着眼于外观形式。回归引言中的案例，则需要王某对其股权之合法来源以及存续状态进行举证，例如以当年的股权投资协议书进行证明，同时可以股东名册记载作为辅助。
而在形式上，要想解决目前股东名册、工商登记的股东信息当中存在矛盾的问题，只能从我国现行的股东登记以及股东名册这两项制度的改进入手，这需要依靠我国立法的逐步完善。目前我国《公司法》当中已经表明，倘若股东存在滥用有限责任制度，对债务进行逃避的行为，此事针对公司所负债务，股东也需要一起承担，该责任为连带责任。由于公司的建立是基于有限责任的制度
，因此法律为债权人的利益保障留出了一丝缝隙，这也导致了司法实践当中，股东、债权人这两种之间频繁爆发矛盾和冲突。要解决这一问题，首先就是要对公司的股东资格进行处理，我们只要明确了是何种主体应当承担责任，才能进一步讨论用何种方式承担责任，承担责任的限额是多少。通常来说，债权人为了保障自己的债权能够得到兑现，主张的立场都是股东具有资格，而对于出资人而言，为了逃避法律后果通常而言会否认自身具有股东资格。
